i am using EAGLE for many years. I started with Ver 3.5
the latest i use is Ver 4.09r2 . My new employer wants to
buy the new Ver 5 .
How difficult is it to move from 4.09 to 5 ? Do i have to
learn everything from scratch or is it essentially the good
old EAGLE with new features. Can i use my old libraries
without major problems? Can i access older Projects with
the new version?

It is still EAGLE 
You can use old stuff with Eagle 5x but NOT the other way around.
That is, you can not open Version 5-files with eagle 4x or lower.
